Welcome to Orange Diamond Safety. These Terms and Conditions ("Terms") govern your access to and use of the website located at https://orangediamondsafety.com (the "Site") and any services, online courses, resources, and content offered through it (collectively, the "Services"), provided by Orange Diamond Safety ("Orange Diamond Safety," "ODS," "we," "us," or "our").

Please read these Terms carefully. By accessing or using the Site or Services, creating an account, enrolling in a course, or submitting information through the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site or Services.

1. Eligibility

The Site and Services are intended for businesses and for individuals who are at least 18 years old. By using the Site, you represent that you are at least 18 years of age and that you have the authority to enter into these Terms on behalf of yourself or the organization you represent.

2. Our Services

Orange Diamond Safety provides occupational safety and health services, which may include safety training (in-person and online), safety inspections and audits, consultative services, leadership development, safety staff recruiting, and related resources and content. Specific deliverables, timelines, pricing, and terms for professional services are governed by a separate written proposal, quote, or agreement between you and ODS. In the event of a conflict between these Terms and a signed services agreement, the signed agreement controls with respect to those services.

3. Accounts

Certain features, including online courses, may require you to create an account. You agree to provide accurate and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly if you suspect any unauthorized use of your account. We may suspend or terminate accounts that violate these Terms.

4. Online Courses and Digital Content

When you purchase or enroll in an online course or access digital resources, we grant you a limited, non-exclusive, non-transferable license to access and use that content for your own internal training and educational purposes.

Unless expressly authorized in writing, you may not share, resell, redistribute, copy, or provide access to your course, account, or downloaded materials to any other person or organization. Completion records or certificates issued through our courses reflect completion of the applicable training and do not, by themselves, guarantee regulatory compliance or qualification for any specific job task.

5. Payment, Fees, and Refunds

Fees for courses and services are described at the point of purchase or in your applicable quote or agreement. Unless otherwise stated in a signed agreement, payment terms for professional services are net 30 days from the invoice date. 6. Acceptable Use

You agree not to:

  • Use the Site or Services for any unlawful purpose or in violation of these Terms;
  • Attempt to gain unauthorized access to the Site, other accounts, or our systems;
  • Interfere with or disrupt the Site, servers, or networks;
  • Upload or transmit viruses, malware, or harmful code;
  • Submit false, misleading, or infringing information or files; or
  • Copy, scrape, reproduce, or exploit any part of the Site or its content except as expressly permitted.

We reserve the right to restrict, suspend, or terminate access to any user who violates these Terms.

7. User Submissions

When you submit information or upload files through our contact forms or other features, you represent that you have the right to share that content and that it does not violate the rights of any third party or any law. You grant Orange Diamond Safety permission to use the information you submit to respond to your request and provide the Services. Do not submit confidential, sensitive, or proprietary information that you do not intend to share with us.

All content on the Site, including text, graphics, logos, course materials, toolbox talks, job hazard analyses (JHAs), templates, and other resources, is owned by or licensed to Orange Diamond Safety and is protected by copyright, trademark, and other intellectual property laws. Except for content you are expressly licensed to use, you may not reproduce, distribute, modify, or create derivative works from any part of the Site or Services without our prior written consent. The Orange Diamond Safety name and logo are trademarks of Orange Diamond Safety and may not be used without permission.

9. Professional Services Disclaimer and Client Responsibility

Orange Diamond Safety provides advisory, training, inspection, and consultative safety services intended to support your organization's safety efforts. Our Services do not transfer, assume, or replace your organization's legal responsibility for workplace safety and regulatory compliance.

You acknowledge and agree that:

  • Orange Diamond Safety is not a government agency and is not affiliated with OSHA, MSHA, or any regulatory authority. To report workplace safety emergencies to OSHA, call 800-321-6742.
  • Our training, inspections, reports, and recommendations are provided for informational and advisory purposes and do not constitute legal advice or a guarantee of compliance with any law, regulation, or standard.
  • Responsibility for implementing safety measures, correcting hazards, maintaining a safe workplace, and complying with all applicable laws and regulations remains at all times with you and your organization.
  • An inspection, audit, or training engagement reflects conditions and information available at a specific time and does not guarantee the identification of every hazard or the prevention of any incident, injury, or loss.

10. Third-Party Links and Services

The Site may include links to or integrations with third-party websites, tools, and platforms that we do not control, including our website platform, course hosting, and security providers. We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is governed by their terms and privacy policies.

11. Disclaimer of Warranties

The Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any information provided will be accurate, complete, or current.

12. Limitation of Liability

To the fullest extent permitted by law, Orange Diamond Safety and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, business, or goodwill, arising out of or related to your use of the Site or Services. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site or Services will not exceed the amount you paid to us for the specific Service giving rise to the claim during the twelve (12) months preceding the event. We may suspend or terminate your access to the Site or Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to us or other users. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification, will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms, the Site, or the Services will be brought exclusively in the state or federal courts located in [Franklin County / _______ County], Ohio, and you consent to the personal jurisdiction of those courts.
